Terms and Conditions

Standard Branding and Website Development Terms

These terms and conditions are applicable to all Branding and Web Development projects that are undertaken
by PSB Branding.

1.  Acceptance
1.1. These terms and conditions are submitted along with all project quotations and must be agreed prior to work commencing. Alternatively, payment of an advance fee or payment online is an acceptance of our terms and conditions.

2.  Charges
2.1. Charges for services to be provided by PSB Branding are defined in the project quotation that the Client receives via e-mail. Quotations are valid for a period of 30 days unless alternate timescales have been agreed beforehand with the Client. PSB Branding reserves the right to alter or decline to provide a quotation after expiry of the valid timescale.
2.2. All creative projects will require an advance payment of fifty (50) percent of the project quotation total before work will commence. The remaining balance of the project quotation total will be due upon completion of the work prior to setting live or supplying final artwork files. Charges for web development do not cover the release of source Photoshop or other artwork files; if the Client requires these items then a separate quotation can be prepared.

3.  Client Review
3.1. PSB Branding will provide the Client with an opportunity to review the Website once the development has been completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the Client notifies PSB Branding otherwise within ten (10) days of the date the materials are made available to the Client.

4.  Copyright
4.1. The Client retains the copyright to data, files and graphic logos provided by the Client, and grants PSB Branding the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party.
4.2. The Client is further responsible for granting PSB Branding permission and rights for use of the same and agrees to indemnify and hold harmless PSB Branding from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions.

5.  Media Delivery Requirements
5.1. Unless otherwise specified in the project quotation, this Agreement assumes that any text, photographs and graphics will be provided by the Client in electronic format. The specific requirements will be discussed and agreed with the Client prior to commencement of the project.

6.  Access Requirements
6.1. If the Client’s Website is to be installed on a third-party server, PSB Branding must be granted temporary read/write access to the Client’s storage directories, and those directories must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.

7.  Post Project Alterations
7.1. PSB Branding cannot accept responsibility for any alterations caused by the Client or a third party occurring to the Client’s pages once installed. Such alterations include, but are not limited to additions, modifications or deletions. Development charges may incur and will be outlined before any work is carried out.

8.  Third Party Themes
8.1. External 3rd party website themes may be used as a method to create a website.
8.2. PSB Branding selects these themes with the client’s interest in mind and takes great measures in choosing reputable software.
8.3. PSB Branding cannot be held accountable for the longevity of these 3rd party themes.
8.4. If an error occurs with a 3rd party theme, PSB Branding will contact the external software developer and aim to find a solution for this or provide an alternative solution.
8.5. Any additional work that is required in order to fix any errors may incur a charge.

9.  Third Party Plugins
9.1. External 3rd party software plugins may be used within the development of a website to carry out specific functionality in order to meet the brief. PSB Branding cannot be held accountable for the longevity of these 3rd party plugins.
9.2. If an error occurs with these 3rd party plugins, PSB Branding will contact the external software developer and aim to find a solution for this or provide an alternative solution.
9.3. Any additional work that is required in order to fix any errors may incur a charge.

10.  Technologies
10.1. PSB Branding takes great measures in keeping up-to-date with the latest technologies and trends. However, PSB Branding cannot foresee future advances in technology.
10.2. PSB Branding cannot be held accountable for any errors that may occur due to these advances in technology.
10.3. If any errors occur PSB Branding may provide a solution to resolve the problem. However a charge may incur in order to carry out the proposed work.

11.  WordPress Updates
11.1. Due to the evolving nature of WordPress and other open source platforms, software updates are often released to improve and protect these platforms.
11.2. Unless a maintenance or insurance package has been taken out, it is the client’s responsibility to carry out these updates. (Instructions on how to do this will be provided by PSB Branding upon completion of the website)
11.3. Failure to carry out these updates can reduce the overall security of a website which as a result can become susceptible to external threats.
11.4. Carrying out routine WordPress software updates can result in changes to individual code which as a result may have an impact on the functionality of the website itself. After every update the website should be thoroughly checked by the client. If any errors are identified, the client should inform PSB Branding to discuss a solution to rectify this. Development charges may incur and will be outlined before any work is carried out.

12.  Setting Live
12.1. In order for a website to be set live the client will be required to sign off the final website development.
12.2. By signing off the website the client is confirming that they have fully checked the content of the website
12.3. PSB Branding cannot be held accountable for any errors to the content of the website including spelling, grammar, contact details and company details.
12.4. Any additional changes that are required to the content after the website has been signed off may incur a charge.

13.  Client Handover
13.1. Once a website has been set live it is the responsibility of the client to manage and maintain.
13.2. PSB Branding cannot be held responsible for any loss of business due to undetected errors that may have occurred.
13.3. PSB Branding will only work on a website if instructed to do so by the client.

14.  General
14.1. These Terms and Conditions supersede all previous representations, understandings or agreements. The Client’s signature below or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions.

15.  Governing Law
15.1. This Agreement shall be governed by English Law.

 

Website Hosting Terms

These terms and conditions apply to all Website Hosting services provided by PSB Branding.

1. Acceptance
1.1. These terms and conditions apply to all hosting services and must be accepted prior to service commencement.
1.2. Payment of the hosting subscription fee constitutes acceptance of these terms.

2. Service Overview
2.1. PSB Branding provides managed website hosting only.
2.2. Hosting includes server-level management, backups, security monitoring and general hosting environment maintenance.
2.3. Hosting does not include website maintenance, updates, fixes, content edits or support unless covered by a separate Website Management Subscription.

3. What Is Included in Hosting
3.1. Secure, high-performance hosting environment.
3.2. Daily backups with standard retention.
3.3. Server maintenance, updates and security management.
3.4. PHP version updates where required.
3.5. SSL setup and renewal assistance.
3.6. Hosting-level troubleshooting relating to server issues or outages.

4. What Is Not Included in Hosting
4.1. Hosting does not include any website changes, updates or maintenance.
4.2. Hosting does not include plugin updates, theme updates or WordPress core updates.
4.3. Hosting does not include fixing website errors caused by plugins, themes or client actions.
4.4. Hosting does not include malware removal or recovery of compromised websites.
4.5. Hosting does not include work relating to email hosting or third-party systems such as DNS, CRMs or marketing tools.
4.6. Hosting does not include performance optimisation or layout/functionality fixes.

5. Client Responsibilities
5.1. Clients who purchase hosting only (without a Website Management Subscription) are responsible for maintaining their own website.
5.2. This includes updating WordPress core, themes and plugins regularly.
5.3. Clients must ensure their website remains secure, functional and compatible with current PHP versions.
5.4. Clients are responsible for resolving any issues caused by updates, plugin incompatibility or third-party changes.
5.5. Clients must avoid installing unsupported, insecure or untrusted plugins or themes.
5.6. PSB Branding cannot be held accountable for issues arising from lack of maintenance, outdated software, third-party changes, or client alterations.

6. Optional Website Support for Hosting Clients
6.1. PSB Branding can carry out website fixes, updates or support tasks if instructed by the client.
6.2. All such work is chargeable at the standard rate of £60/hour + VAT unless the client has an active Website Management Subscription.
6.3. Any required work will be quoted and agreed prior to commencement.

7. Backups and Data
7.1. Daily backups are taken as part of the hosting service.
7.2. Backup restoration is included for hosting-related issues.
7.3. Restorations required due to client-side issues, errors or third-party interference may incur a charge.

8. Uptime and Performance
8.1. PSB Branding aims to provide a stable and reliable hosting environment.
8.2. Uptime may be affected by factors beyond PSB Branding’s control, including third-party services, network issues or client-installed software.
8.3. No hosting provider can guarantee 100% uptime.

9. Payment Terms
9.1. Hosting subscriptions are billed monthly in advance.
9.2. Failure to make payment may result in temporary suspension of hosting services.
9.3. PSB Branding reserves the right to charge a reactivation fee where necessary.

10. Migration and Termination of Service
10.1. If the client chooses to move hosting to another provider, PSB Branding will provide standard website files and database exports.
10.2. Additional migration support, including DNS adjustments or email configuration, may incur charges.
10.3. Either party may cancel hosting services with 30 days’ written notice.
10.4. No refunds are provided for part-month cancellations.

11. Liability
11.1. PSB Branding is not liable for losses arising from website downtime, security breaches or data loss beyond backup retention.
11.2. PSB Branding is not responsible for issues caused by third-party plugins, themes, updates or client modifications.
11.3. PSB Branding is not liable for business losses arising from website errors, compatibility issues or failure to maintain software.
11.4. Maximum liability is limited to the hosting fees paid in the preceding three months.

12. General
12.1. These Terms and Conditions supersede all previous hosting agreements or representations.
12.2. Continued use of hosting services constitutes acceptance of these conditions.

13. Governing Law
13.1. This Agreement shall be governed by English Law.

Website Management & Maintenance Terms

These terms and conditions apply to all Website Management Subscriptions provided by PSB Branding.

1. Acceptance
1.1. These terms and conditions apply to all Website Management Subscriptions and must be accepted prior to the service commencing.
1.2. Payment of the subscription fee constitutes acceptance of these terms.

2. Service Overview
2.1. A Website Management Subscription provides ongoing support, updates, maintenance and assistance for the Client’s website.
2.2. Each package includes a defined amount of monthly support time which may be used for website edits, updates and general support.
2.3. This service is separate from hosting. Hosting does not include website maintenance unless covered by a management subscription.

3. Monthly Support Time
3.1. Each subscription includes monthly support time as specified on the PSB Branding website.
3.2. Monthly support time may be used for:
a) Text changes
b) Image swaps
c) Adding new blog posts (content supplied by the Client)
d) Adding new plugins (subject to approval)
e) Fixing issues caused by the Client
f) Layout adjustments
3.3. Unused support time does not roll over and expires at the end of each calendar month.
3.4. PSB Branding will notify the Client if a request exceeds the remaining monthly allowance and will provide a quotation for additional work.

4. Additional Work Outside Monthly Allowance
4.1. Any work beyond the included monthly support time will be charged at the standard hourly rate of £60/hour + VAT.
4.2. Larger development tasks such as new pages, redesigns, SEO work, advanced functionality, or custom coding will be quoted separately.
4.3. No additional work will be undertaken without prior agreement from the Client.

5. Software, Plugin and Theme Updates
5.1. PSB Branding will carry out routine WordPress, theme and plugin updates as part of the subscription.
5.2. If an update causes conflicts or errors, PSB Branding will attempt to resolve the issue within the Client’s subscription allowance.
5.3. Where significant redevelopment is required, PSB Branding may provide a separate quotation for the work.

6. Response Times
6.1. Standard support requests will be actioned within 1–3 working days.
6.2. Critical website downtime issues will be prioritised and addressed on the same working day where possible.
6.3. Plugin or theme issues caused by updates are typically addressed within 24–48 hours.

7. What Is Not Included
7.1. Full website redesigns, structural changes or branding work.
7.2. Creation of new pages, unless agreed separately.
7.3. Copywriting or content creation.
7.4. SEO strategy or marketing management.
7.5. Fixes required due to third-party developers, external software or unsupported plugins.
7.6. Email hosting or email troubleshooting not directly related to the website.
7.7. Management of hosting environments not provided by PSB Branding.

8. Client Responsibilities
8.1. The Client must provide clear instructions and any required content in a timely manner.
8.2. The Client is responsible for ensuring content provided is accurate, lawful and free from copyright infringement.
8.3. The Client must not install plugins, code or software without consulting PSB Branding, as this may cause conflicts or errors.
8.4. PSB Branding cannot be held responsible for issues caused by third-party changes, external developers or unauthorised Client modifications.
8.5. If the Client does not have hosting with PSB Branding, the Client must ensure their hosting provider supports required PHP, WordPress or plugin updates.

9. Payment Terms
9.1. Website Management Subscriptions are billed monthly in advance.
9.2. Payment is required via Direct Debit or another agreed method.
9.3. Failure to make payment may result in suspension of support and maintenance services.

10. Cancellation
10.1. The subscription operates on a monthly rolling basis.
10.2. Either party may cancel with 30 days’ written notice.
10.3. No refunds are provided for unused support time within a cancellation period.
10.4. Upon cancellation, ongoing maintenance, updates and support cease.

11. Liability
11.1. PSB Branding is not liable for losses arising from website downtime, security breaches or third-party service failures.
11.2. PSB Branding is not responsible for issues arising from unsupported plugins, unmanaged hosting or unauthorised Client changes.
11.3. PSB Branding cannot guarantee that all updates will be free from conflict due to the nature of third-party software.
11.4. Maximum liability is limited to the subscription fees paid in the preceding three months.

12. General
12.1. These Terms and Conditions supersede all previous management agreements and representations.
12.2. Continued use of the subscription service constitutes acceptance of these terms.

13. Governing Law
13.1. This Agreement shall be governed by English Law.
